1. Agreement to Terms
Welcome to AdNova. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Publisher," "Advertiser," "User," or "you") and AdNova Inc. ("AdNova," "we," "our," or "us") governing your access to and use of the AdNova platform, website (adnova.cc), and all related services (collectively, the "Services").
By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.
Important Notice
These Terms contain an arbitration agreement and class action waiver that affect your legal rights. Please read Section 16 carefully.
2. Eligibility
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Services under applicable laws
- Provide accurate and complete registration information
- Own or have authorization to monetize the websites you register
By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility and refuse service to anyone at our sole discretion.
3. Account Registration
3.1 Account Creation
To access certain features of our Services, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. AdNova will not be liable for any loss or damage arising from your failure to protect your account information.
3.3 One Account Per Person
Each individual or entity may maintain only one active account. Creating multiple accounts to circumvent restrictions, earn additional bonuses, or for any fraudulent purpose is strictly prohibited and will result in immediate termination of all accounts.
4. Publisher Terms
4.1 Website Requirements
Publishers must ensure their websites comply with the following requirements:
- Website must be fully functional and contain original content
- Website must receive legitimate, organic traffic
- Website must not contain illegal, harmful, or prohibited content
- Publisher must own or have legal rights to monetize the website
- Website must comply with all applicable laws and regulations
4.2 Prohibited Content
Publishers may not display AdNova ads on websites containing:
- Illegal content or content promoting illegal activities
- Adult, pornographic, or sexually explicit material
- Violent, hateful, or discriminatory content
- Content infringing intellectual property rights
- Malware, spyware, or other harmful software
- Fraudulent or deceptive content
- Drug-related or weapons content
- Gambling content (unless properly licensed)
- Content targeting minors inappropriately
4.3 Traffic Requirements
All traffic to your website must be legitimate and comply with these requirements:
Prohibited Traffic Sources
- Automated bots, scripts, or click farms
- Paid-to-click or traffic exchange programs
- Incentivized clicks or forced ad interactions
- Pop-up or pop-under generated traffic
- Misleading or deceptive traffic sources
- Proxy or VPN-masked traffic intended to deceive
- Self-clicking or clicking your own ads
4.4 Ad Implementation
When implementing AdNova ads, publishers must:
- Use only the official ad codes provided in the dashboard
- Not modify, alter, or tamper with ad codes
- Not place ads in a way that encourages accidental clicks
- Not obscure or hide ads from users
- Not place more ads than permitted per page
- Clearly distinguish ads from website content
5. Payments and Earnings
5.1 Revenue Share
Publishers earn a percentage of the revenue generated from ads displayed on their websites. The exact revenue share depends on factors including traffic quality, geographic location, and ad performance.

5.3 Payment Conditions
Payments are subject to the following conditions:
- Account must be in good standing with no policy violations
- Earnings must meet the minimum payout threshold
- Valid payment information must be on file
- Publisher must complete any required tax documentation
- Earnings from invalid traffic will be deducted
5.4 Taxes
You are solely responsible for determining and paying all applicable taxes on your earnings. AdNova may be required to withhold taxes based on your location and applicable tax treaties. You may be required to provide tax documentation (e.g., W-9, W-8BEN) before receiving payments.
5.5 Disputed Earnings
AdNova reserves the right to withhold, adjust, or reclaim payments in cases of:
- Fraudulent or invalid traffic
- Policy violations
- Advertiser chargebacks
- Technical errors or overpayments
6. Link Locker Terms
The Link Locker feature allows publishers to monetize content by requiring users to complete verification steps. When using Link Locker, you agree to:
- Only lock content you have the right to distribute
- Not use lockers for essential services, emergency information, or legally required content
- Not mislead users about what content is behind the locker
- Provide genuine value behind locked content
- Not use lockers to distribute malware or harmful content
- Comply with all applicable consumer protection laws
7. Prohibited Activities
You agree not to engage in any of the following activities:
- Violating any applicable laws, regulations, or third-party rights
- Generating fraudulent impressions, clicks, or conversions
- Using automated systems to interact with ads
- Attempting to reverse engineer or hack our systems
- Interfering with or disrupting our Services
- Circumventing security measures or access controls
- Impersonating any person or entity
- Collecting user data without proper consent
- Sending spam or unsolicited communications
- Using our Services for money laundering or terrorist financing
8. Intellectual Property
8.1 AdNova Property
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and code, are owned by AdNova or our licensors and are protected by intellectual property laws.
8.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services in accordance with these Terms. This license does not include the right to:
- Modify, copy, or create derivative works
- Reverse engineer or decompile our software
- Remove proprietary notices or labels
- Use our trademarks without permission
- Sublicense or transfer your rights
8.3 Your Content
You retain ownership of content you create or upload. By using our Services, you grant AdNova a worldwide, royalty-free license to use, display, and distribute your content as necessary to provide our Services.
9. Termination
9.1 Termination by You
You may terminate your account at any time by contacting our support team. Upon termination:
- You will receive any earned and unpaid balance (subject to minimum payout)
- You must remove all AdNova ad codes from your websites
- Your access to the Services will be revoked
9.2 Termination by AdNova
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our policies
- We detect fraudulent or suspicious activity
- Your account poses a security risk
- We are required to do so by law
- We discontinue the Services
9.3 Effect of Termination
Upon termination for policy violations, we reserve the right to withhold any unpaid earnings. Sections of these Terms that by their nature should survive termination will remain in effect.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS OF CONTENT
- UNINTERRUPTED OR ERROR-FREE SERVICE
We do not warrant that the Services will meet your requirements, that results will be accurate, or that the Services will be available at all times.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADNOVA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your use or inability to use the Services
- Damages arising from unauthorized access to your account
- Any amount exceeding the fees paid by you in the 12 months prior to the claim
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless AdNova and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Services
- Your content or websites
- Your violation of any third-party rights
- Any fraudulent or illegal activity by you
13. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you via email or through the Services
- Provide at least 30 days' notice before changes take effect
Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
14. Modifications to Services
AdNova reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware.
16. Dispute Resolution
16.1 Informal Resolution
Before filing any legal claim, you agree to try to resolve the dispute informally by contacting us at legal@adnova.cc. We will attempt to resolve the dispute within 60 days.
16.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration will be conducted in English and held in Wilmington, Delaware.
16.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS WILL BE ADJUDICATED ON AN INDIVIDUAL BASIS, AND YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any class proceeding.
16.4 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and AdNova regarding the Services.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
17.5 Force Majeure
AdNova shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, war, terrorism, or government actions.
